Allgemeine Geschaeftsbedingungen

1. Anbieter und Geltungsbereich

Diese Allgemeinen Geschaeftsbedingungen gelten fuer die Nutzung von VistaEnergy, angeboten durch Naturopathic School of Hawaii LLC. Abweichende Bedingungen des Kunden gelten nur, wenn sie schriftlich bestaetigt wurden.

2. Leistungsumfang

VistaEnergy ist eine Software zur Optimierung von Photovoltaik-Anlagen. Sie kann Stromtarife dynamisch steuern, Batteriespeicher verwalten, Wallboxen steuern und PV-Prognosen erstellen. Einzelne Funktionen koennen Drittanbieter, Internetzugang, API-Schluessel oder passende Hardware voraussetzen.

3. Testphase und Lizenz

VistaEnergy kann nach der Ersteinrichtung 30 Tage kostenlos getestet werden. Waehrend der Testphase stehen alle Features uneingeschraenkt zur Verfuegung. Nach Ablauf der Testphase ist fuer die weitere Nutzung ein kostenpflichtiges Abonnement bzw. eine gueltige Lizenz erforderlich. Ohne gueltige Lizenz wird die Software gesperrt; lediglich die Lizenz-Aktivierung bleibt erreichbar. Bereits lokal gespeicherte Daten bleiben erhalten. Die Testphase verlaengert sich nicht automatisch.

4. Preise und Zahlung

Die auf der Website genannten Preise verstehen sich in Euro inklusive gesetzlicher Mehrwertsteuer. Zahlungen werden ueber PayPal abgewickelt. Es stehen ein monatliches und ein jaehrliches Abonnement zur Verfuegung. Das Abonnement verlaengert sich automatisch, sofern es nicht vor Ablauf der Laufzeit gekuendigt wird.

5. Kuendigung

Das Abonnement kann jederzeit zum Ende der aktuellen Abrechnungsperiode gekuendigt werden. Die Kuendigung erfolgt ueber das Dashboard oder per E-Mail an [email protected]. Nach der Kuendigung bleiben Dashboard und Datensammlung funktionsfaehig, die Optimierungs-Features werden deaktiviert.

6. Download, Installation und Updates

Der Kunde ist fuer geeignete Hardware, Stromversorgung, Netzwerk und Internetzugang verantwortlich. Updates werden automatisch bereitgestellt und koennen neue Funktionen oder Fehlerbehebungen enthalten. Der Anbieter behaelt sich vor, den Funktionsumfang zu aendern, sofern dies fuer den Kunden zumutbar ist.

7. Pflichten des Kunden

Zugangsdaten, API-Schluessel und Aktivierungscodes sind vertraulich zu behandeln. Der Kunde traegt die Verantwortung fuer die ordnungsgemaesse Konfiguration seiner Hardware und Netzwerkumgebung. Eine Weitergabe der Lizenz an Dritte ist ohne Zustimmung des Anbieters nicht gestattet.

8. Drittanbieter und Datenquellen

VistaEnergy kann Dienste wie PayPal, Wetteranbieter, Tibber, aWATTar, Fronius oder andere Drittanbieter nutzen. Fuer deren Verfuegbarkeit und Richtigkeit uebernimmt der Anbieter keine Gewaehr. Aenderungen an Drittanbieter-APIs koennen einzelne Funktionen beeintraechtigen.

9. KI-Assistent (eigener API-Schluessel)

Der optionale KI-Assistent setzt einen eigenen API-Schluessel eines KI-Anbieters (z.B. Groq, Google, Anthropic, OpenAI, DeepSeek, MiniMax) voraus. Der Kunde schliesst die Nutzung direkt mit dem jeweiligen Anbieter ab und traegt dort anfallende Kosten selbst. Der Anbieter uebernimmt keine Gewaehr fuer Verfuegbarkeit, Richtigkeit oder Inhalt der KI-Antworten. KI-generierte Vorschlaege ersetzen keine fachliche Pruefung und werden auf eigene Verantwortung des Kunden umgesetzt.

10. Verfuegbarkeit und Haftung

VistaEnergy wird mit Sorgfalt entwickelt. Eine unterbrechungsfreie Verfuegbarkeit oder fehlerfreie Funktion kann nicht garantiert werden. Die Haftung des Anbieters ist auf Vorsatz und grobe Fahrlaessigkeit beschraenkt. Fuer Schaeden an der PV-Anlage, dem Batteriespeicher oder der Wallbox durch fehlerhafte Steuerungsbefehle uebernimmt der Anbieter keine Haftung, sofern diese nicht auf Vorsatz oder grobe Fahrlaessigkeit zurueckzufuehren sind.

11. Widerruf und digitale Inhalte

Verbrauchern koennen gesetzliche Widerrufsrechte zustehen. Bei digitalen Inhalten kann das Widerrufsrecht erloeschen, wenn der Kunde ausdruecklich zustimmt, dass die Ausfuehrung vor Ablauf der Widerrufsfrist beginnt, und seine Kenntnis vom moeglichen Erloschen bestaetigt.

12. Schlussbestimmungen

Sollten einzelne Bestimmungen unwirksam sein, bleibt die Wirksamkeit der uebrigen Bestimmungen unberuehrt. Es gilt das Recht des Staates Hawaii, USA, soweit keine zwingenden Verbraucherschutzvorschriften des Wohnsitzlandes des Kunden entgegenstehen.

1. Provider and scope

These terms apply to the use of VistaEnergy, offered by Naturopathic School of Hawaii LLC. Differing terms of the customer apply only if confirmed in writing.

2. Scope of services

VistaEnergy is software for optimising photovoltaic systems. It can control electricity tariffs dynamically, manage battery storage, control EV chargers and create PV forecasts. Some functions may require third-party services, internet access, API keys or suitable hardware.

3. Trial period and licence

VistaEnergy can be tested free for 30 days after initial setup. During the trial all features are fully available. After the trial a paid subscription or a valid licence is required for further use. Without a valid licence the software is locked; only licence activation remains accessible. Data already stored locally is retained. The trial does not renew automatically.

4. Prices and payment

Prices stated on the website are in euros including statutory VAT. Payments are processed via PayPal. A monthly and an annual subscription are available. The subscription renews automatically unless cancelled before the end of the term.

5. Cancellation

The subscription can be cancelled at any time to the end of the current billing period via the dashboard or by email to [email protected]. After cancellation the dashboard and data collection remain functional; the optimisation features are deactivated.

6. Download, installation and updates

The customer is responsible for suitable hardware, power supply, network and internet access. Updates are provided automatically and may contain new functions or bug fixes. The provider reserves the right to change the scope of functions where reasonable for the customer.

7. Customer obligations

Access data, API keys and activation codes must be kept confidential. The customer is responsible for the proper configuration of their hardware and network environment. Passing the licence to third parties is not permitted without the provider's consent.

8. Third parties and data sources

VistaEnergy may use services such as PayPal, weather providers, Tibber, aWATTar, Fronius or other third parties. The provider gives no warranty for their availability or accuracy. Changes to third-party APIs may affect individual functions.

9. AI assistant (your own API key)

The optional AI assistant requires your own API key from an AI provider (e.g. Groq, Google, Anthropic, OpenAI, DeepSeek, MiniMax). The customer concludes the use directly with the respective provider and bears any costs incurred there. The provider gives no warranty for availability, accuracy or content of the AI responses. AI-generated suggestions do not replace professional review and are implemented at the customer's own responsibility.

10. Availability and liability

VistaEnergy is developed with care. Uninterrupted availability or error-free operation cannot be guaranteed. The provider's liability is limited to intent and gross negligence. The provider accepts no liability for damage to the PV system, battery storage or charger caused by faulty control commands, unless due to intent or gross negligence.

11. Right of withdrawal and digital content

Consumers may have statutory rights of withdrawal. For digital content the right of withdrawal may lapse if the customer expressly agrees that performance begins before the withdrawal period ends and confirms awareness of the possible lapse.

12. Final provisions

If individual provisions are invalid, the validity of the remaining provisions is unaffected. The law of the State of Hawaii, USA applies, unless mandatory consumer protection rules of the customer's country of residence apply.
